Dear fellow property owners,

Due to the resignation of Ms. Alison Owen, which will become effective at the December 5th, 2019 Board of Director’s meeting, there will be a vacancy on the TKB Board of Directors for her unexpired term ending March 2020, which will be filled by someone selected by the Board.

The Board invites any TKB owner who is interested in the Board position, to submit their one-page resume either in person at the management office or via e-mail to Martha Casado at Martha@tkbonline.com. Resumes should be submitted no later than Monday, November 25th, 2019 at 4:00 PM.

The Board of Directors will be interviewing applicants shortly after for the position of Director that Ms. Owen is vacating. Decision will be made at the next Board meeting.

Below please find the Sections from the Association’s By-Laws and the Condominium Act pertaining to the authority of the directors to fill a vacancy on the Board.

Paragraph 16 of the By-Laws provides as follows:

If the office of one or more directors becomes vacant by reason of death, resignation, retirement, disqualification, removal from office, or otherwise, a majority of the remaining directors, though less than a quorum, shall choose a successor or successors, who shall hold office for the unexpired term in respect to which such vacancy occurred. Vacancies in the initial board of directors shall be filled as provided for in the Articles of Incorporation.

Section 718.112 (s) (d) 9 provides as follows:

Unless otherwise provided in the bylaws, any vacancy occurring on the board before the expiration of a term may be filled by the affirmative vote of the majority of the remaining directors, even if the remaining directors constitute less than a quorum, or by the sole remaining director. In the alternative, a board may hold an election to fill the vacancy, in which case the election procedures must conform to sub-subparagraph 4.a. unless the association governs 10 units or fewer and has opted out of the statutory election process, in which case the bylaws of the association control. Unless otherwise provided in the bylaws, a board member appointed or elected under this section shall fill the vacancy for the unexpired term of the seat being filled. Filling vacancies created by recall is governed by paragraph (j) and rules adopted by the division.
